STL Acquires Clearcomm, a Network Integration Company Headquartered in the United Kingdom

STL, a leading digital network integrator, announced the acquisition of Clearcomm Group Ltd, a network integration business headquartered in the United Kingdom.

As network builders worldwide build large-scale networks for 5G, FTTx, and rural use cases, STL has been improving its end-to-end network and system integration solutions. STL is acquiring UK-based Clearcomm Group as part of its global strategy to expand its Network Integration solutions in the UK and Europe.

Clearcomm is a privately held company in the United Kingdom that provides end-to-end network integration solutions and capabilities. Clearcomm has over a decade of expertise and long-standing relationships with significant clients in the UK. Over the last three years, it has generated profitable growth with revenues in the range of GBP 20 million and more than 25% growth rates. Clearcomm achieved this by establishing a superior delivery model for large-scale FTTx network integration projects. These specialties complement STL's existing expertise in Optical Connectivity and Data Center Integration solutions, resulting in a unique value proposition for building national-scale, cloud-enabled, next-generation digital networks.

The deal is structured to acquire 100% of the share capital in two tranches. Tranche 1 involves the immediate acquisition of 80% of the share capital (subject to customary pre-closing conditions) and is based on an Enterprise Value of GBP 15.5 million. The remaining 20% shareholding will be acquired in 2023.
